■General Corporate/Commercial Legal Matters
We advise Japanese and international companies on both domestic and cross-border legal issues.
We offer our clients a comprehensive range of advice on any legal issues arising from their day-to-day business operations, including drafting of commercial contracts (e.g. sales and purchase agreement, distribution agreement, franchise agreement), legal advisory support on financing, real estate and other asset transactions, issues related to intellectual property, corporate governance matters (including operation of shareholders and board meetings), employment law issues and commercial disputes. We also frequently work with legal counsel in jurisdictions outside of Japan and effectively assist Japanese companies in entering into or expanding their business in Asia, US, Europe and other countries.

■Restructuring/Insolvency
Members of our team have been involved in insolvency procedures such as bankruptcy, corporate reorganization and civil rehabilitation proceedings, as a legal advisor, a trustee or in other capacities. We also support companies with financial difficulty through planning and implementation of restructuring schemes. With a wealth of knowledge and experience in corporate/commercial legal matters, we often provide efficient legal assistance to our clients encountering insolvency procedures as a creditor or otherwise.
■Mergers and Acquisitions
We have expertise in handling various kinds of M&A transactions, such as business alliance/joint venture, share transfer, business transfer, corporate restructuring (e.g. merger, corporate split, share exchange), and acquisition of a listed company through tender offer. We often handle M&As involving both Japanese companies and companies from other jurisdictions.
■Business in Asia
Working closely with local law firms, we actively provide support to Japanese companies entering into or expanding their business in countries throughout Asia, including legal assistance in obtaining local regulatory approvals, incorporation of legal entities, forming/dissolving joint venture with local enterprises, and documentation drafting and negotiations.
■Employment Law
We offer a comprehensive range of advice mainly to companies (employers) on any employment law related issues (e.g. work rules, employment agreement, transfer, leaves, wages, work hours, disciplinary actions, termination). We also have a unique expertise in advising on employment law issues in the context of M&A and oversea business expansions
■Risk and Crisis Management
When a problem arises, we swiftly handle internal investigations and dealings with enforcement agencies, and at the same time efficiently support our clients with reporting, communication and reputation management. We regularly assist our clients in preventing corporate crimes or other wrongdoings by developing and implementing a tailor-made compliance manual and program including training, as well as providing advice on compliance issues arising from day-to-day business operations.
■Intellectual Property
We provide legal support on IP issues arising from day-to-day business operations, including protection of trademark, digital contents, work/invention for hire and privacy policy, as well as IP transactions (e.g. licensing or research and development agreements) in technology- based industries such as IT and life science.
■Dispute Resolution
We handle corporate/commercial disputes as well as general civil disputes, such as disputes relating to M&A, corporate restructuring, commercial contracts, rental agreements, and the control of corporate entities. Shintaro's practice focuses on corporate transactions, especially international and domestic M&A transactions, and restructuring/insolvency. He regularly represents domestic and foreign clients, ranging from private equity funds to industrial companies.
Shintaro has been cited for his expertise in corporate/M&A, insolvency & reorganization and cross-border transactions in several leading legal publications. Shintaro is described as “a strong performer” praised for his “tireless work ethic” and adept handling of complex M&A transactions in Who’s Who Legal (2016) and has been constantly listed as a leading practitioner in M&A and Governance (Who's Who Legal 2021-2023).
